Remuneration policy

Process
A Remuneration Committee, comprising members of the Supervisory Board, has been appointed. The committee’s task is to make proposals concerning the remuneration policy of Corio N.V. The policy adopted by the Supervisory Board is submitted to the General Meeting of Shareholders for approval. The committee advises the Supervisory Board on the remuneration of the individual members of the Management Board, in accordance with the approved remuneration policy. Each year the Remuneration Committee prepares the remuneration report and submits it to the Supervisory Board for approval. At the start of each calendar year the Remuneration Committee discusses the remuneration of the members of the Management Board. Proposals concerning Management Board remuneration are adopted by the Supervisory Board. Details of the remuneration policy can be found on Corio’s website.

Objective
The remuneration policy is designed to make it possible to recruit people for the Management Board who have the necessary management skills and also the required background and experience in the property market. The aim of the policy is to enable the company to continue focusing on improving the performance and increasing the value of the business, and to motivate and retain members of the Management Board. The policy was amended in 2008 with the approval of the General Meeting of Shareholders. The amendments concerned details of the way in which variable remuneration is awarded and calculated. These elements are described in further detail below.
